Japan’s Sega Sammy Holdings is hitting pause on large-scale mergers and acquisitions after booking a JPY16.9 billion ($110 million) loss attributable to owners of the parent in the nine months through December 31. The company pinned most of the damage on a JPY31.4 billion ($296 million) extraordinary loss tied to the underperformance of its video game unit Rovio, with other recent buys adding to the strain. Despite some bright spots in gaming equipment and its stake in a Korean casino resort, Sega Sammy is stepping back from deal-making to regroup after results that fell well short.
Sales Up but Profits Crater on Write-Downs
Consolidated sales for the period showed an increase of 4.0 percent year-over-year from the year prior, reaching JPY335.2 billion or $2.19 billion. However, the operating income showed a decline of 58.6 percent year-over-year, falling to JPY23.8 billion or $156 million. Adjusted EBITDA also showed a sharp decline from JPY54.5 billion or $356 million the year prior to just JPY3.4 billion or $22.2 million. The swing came from hefty extraordinary losses and a sharp fall in one-off income, wiping out much of what steady sales growth might have delivered.
The challenges facing the firm were outlined during the Friday briefing from Sega Sammy Holdings. The firm cited the struggles of its Entertainment and Gaming segments as the primary drivers of the issues at the firm. The firm had looked to acquisitions as a way to drive growth, but these bets turned sour very quickly.
Rovio Impairment Hammers Entertainment Segment
The Entertainment division, centered on video games, took the biggest hit. Sales edged up slightly to JPY242.2 billion ($1.58 billion), but operating income fell 31.5 percent to JPY23.7 billion ($155 million). Adjusted EBITDA plunged 95.1 percent to JPY2.0 billion ($13.1 million), dragged down by Rovio, the Angry Birds developer Sega Sammy bought in 2023.
Rovio missed forecasts as the global mobile game market shifted quickly, with new big titles flooding in and competition for users heating up. Sega Sammy said the unit struggled to execute its original plans amid those changes, leading to profitability well below expectations. An impairment test showed Rovio’s recoverable value had tanked below its book value, triggering JPY31.3 billion in write-downs on goodwill and intangible assets during the third quarter. Fewer full game sales and weaker free-to-play uptake piled on the pressure.
Gaming Segment Mixed With Acquired Losses
The gaming segment includes gambling machines. The segment reported an operating loss of JPY4.8 billion ($31.4 million), with Adjusted EBITDA moving to JPY100 million ($653,000), up from breakeven last year. The positives of higher gaming machine sales and equity earnings from its 45 percent stake in Paradise City integrated resort in Korea are offset by losses from GAN Ltd. and Stakelogic, which are recent acquisitions.
Sega Sammy highlighted strong sales of its “Railroad Riches” and “Super Burst” slot titles, particularly in North America, as a key driver. Paradise City’s performance also benefited from increased Japanese VIP play. Still, the drag from the new units underscored the risks of rapid expansion through buys, tipping the segment into red ink despite those positives.
Pachislot Outlook Brightens Amid Pullback
Sega Sammy plans to steer clear of big M&A for now, focusing instead on stabilizing after the acquisition misfires. Separately, the company raised its forecast for full-year FY26 in the Pachislot and Pachinko Machine segment, expecting robust sales and profit from recent title launches. That domestic strength offers some cushion as the group digests lessons from its overseas pushes.
The nine-month loss serves as a reality check for a company that had chased growth through high-profile deals like Rovio. With Entertainment profitability eroded and Gaming weighed by new units, Sega Sammy’s pause on M&A signals a shift toward organic recovery and tighter capital allocation. Paradise City’s steady contribution and machine sales provide footing, but the road back will test how well the group can recalibrate without the deal-making engine it once relied on.
