The Philippines Amusement & Gaming Corporation has revoked the provisional license issued by the regulatory body a few years ago related to the Emerald Bay Resort and Casino in Mactan, Cebu, for the stalled construction project owned by the company named PH Resorts Group Holdings, Inc. The company, a subsidiary of Udenna Corp. owned by businessman Dennis Uy, confirmed the revocation of the license issued by the company via its subsidiaries Lapulapu Leisure Inc. and Lapulapu Land Corp.
Regulatory Action and License Termination
PH Resorts reported in its filing with the Philippine Stock Exchange on Thursday that the revocation of the provisional gaming license approved for the Emerald Bay project was approved by the PAGCOR board. The company clarified that the ruling has no material implications from a financial point of view as the property was not in commercial operation for the entire term of the license.
Subsidiaries LLI and LLC received direct notification of the board’s approval, formalizing the license termination for the long-delayed integrated resort initiative. The disclosure reflects PAGCOR’s authority to revoke provisional authorizations when associated projects fail to achieve developmental milestones or operational commencement within stipulated timeframes.
Financial Position Unaffected by Revocation
The revocation of the license was perceived as insignificant to its current financial position by PH Resorts, which it attributed to the non-operational nature of the project since the issuance of the license. The company stated that it had experienced no effect on balance sheet positions and liquidity; therefore in a better position to explore other strategic ventures without any hindrances from the project in Cebu.
This financial insulation stems from prior accounting adjustments eliminating project-related liabilities from corporate books. The revocation simply aligns regulatory status with the project’s dormant operational reality, eliminating provisional license administrative overhead without substantive economic consequences.
Prior Derecognition of Project Assets and Liabilities
In August, PH Resorts had already executed comprehensive accounting derecognition of Emerald Bay-related assets and associated financial obligations. The company reported the expiration of its repurchase option for Mactan project land parcels and construction-in-progress under an agreement with China Banking Corp, effective March 31, 2025.
This transaction resulted in removal of PHP13.65 billion in Mactan properties alongside PHP8.75 billion (approximately US$149.3 million) in corresponding financial liabilities from LLI and LLC balance sheets. The derecognition reflected realistic assessment that repurchase rights had lapsed without renewal prospects, streamlining corporate financial reporting by eliminating stalled project encumbrances.
Construction Partnership Dissolution
Concurrent with the PAGCOR license revocation, PH Resorts announced the termination of its previously executed memorandum of understanding with construction firm EEI Corp regarding Emerald Bay development. The company indicated that continuation of the construction partnership became untenable following regulatory license cancellation, eliminating foundational prerequisites for project advancement.
This partnership dissolution represents pragmatic acknowledgment that Emerald Bay’s developmental pathway has conclusively closed, freeing both parties to redirect resources toward viable alternative initiatives within competitive construction and hospitality sectors.
