Flutter Secures Full Ownership of FanDuel in $1.755 Billion Deal with Boyd Gaming

Flutter Entertainment has finalized the acquisition of the remaining 5% stake in FanDuel owned by Boyd Gaming Corporation for approximately $1.755 billion. The landmark deal assures Flutter’s complete ownership of the U.S. leading sports betting website and lengthens the strategic agreement between the duo to 2038.

Highlighting Strengthened Market Position in the U.S.

This acquisition increases Flutter’s leadership in the rapidly growing U.S. sports betting industry. FanDuel is already a market-leading operator in multiple states, and full ownership enables Flutter to make decisions at speed and based on long-term value creation.

Among the major advantages cited by Flutter is the estimated annual saving of about $65 million through reduced market access fees in major states where Boyd is facilitating FanDuel’s entry. These include Iowa, Indiana, Kansas, Louisiana, and Pennsylvania—major markets where operational efficiency will now be significantly enhanced.

Continued Partnership between Flutter and Boyd

Despite the ownership transition, Flutter and Boyd’s relationship remains strong and strategically placed. FanDuel will continue to operate Boyd’s retail sportsbooks outside Nevada at least through the first half of 2026. As of that date, Boyd is to assume full operational control of its retail sports betting facilities.

In return, Boyd will continue to receive fixed fees from FanDuel’s online operations in the states where it offers market access. The revenue-sharing model supports Boyd’s broader game plan of participating in the online gaming space without a large investment in digital business.

Fox Corporation’s Option Admits a Layer of Sophistication

Although Flutter presently owns 100% of FanDuel, it must consider the existing contractual option exercised by Fox Corporation. The agreement provides Fox with an option to purchase an 18.6% equity stake in FanDuel for a strike price currently worth around $4.5 billion. The option expires on December 3, 2030.

The valuation is calculated on FanDuel’s December 2020 market capitalization of $20 billion, renewed annually at a compound rate of 5%. If Fox exercises this option, it must pay the entire amount in cash and acquire appropriate gaming licenses, a massive hurdle that provides Flutter with a cushion against dilution at this stage.

This decision has a contingent liability for Flutter, but it is in a form that offers protection and the possibility of an equally valuable media-gambling strategic partnership with Fox in the future. The union would position FanDuel further into integrated media content and visibility among broader audiences on digital platforms.

Industry Implications and Forward Strategy

Flutter’s move to take full control of FanDuel marks its determination to dominate the U.S. sports betting market. The U.S. remains one of the most rapidly expanding markets in the international gaming market, and FanDuel is well-placed to take advantage of growing regulatory clarity and consumer acceptance.

Further, the long-term association with Boyd guarantees continued access to profitable markets alongside obedience to state-by-state licensing requirements. This balance between management control and strategic partnerships can be a model for other global gaming companies to expand in complex regulatory environments.

At the same time, Flutter will have to contend with the potential financial and legal ramifications of Fox’s equity option. Although not an immediate issue, it is something that has the potential to affect future ownership levels and valuations.

Through this acquisition, Flutter directly owns one of the US sports betting industry’s most recognized names. The deal not only maximizes cost savings and strategic flexibility but also cements its number one position in a market with enormous growth potential. Fluctuating dynamics between Fox and Boyd will be at the core of guiding FanDuel’s future as Flutter continues to establish its footprint across the United States.
