Entain has announced the launch of a bond offering of at least €800 million ($925 million) equivalent through euro and/or sterling-denominated senior secured notes due 2031. The notes are expected to be guaranteed and secured on a pari passu basis with the company’s existing Term Loan B facilities.
Refinancing Strategy and Investor Terms
The offering is part of a leverage-neutral refinancing strategy designed to extend Entain’s debt maturity, diversify funding sources, and lower annual interest costs. Proceeds from the transaction will be used to repay outstanding amounts under the group’s euro-denominated Term Loan B facilities, if the offer is completed.
The final size, pricing, and terms of the notes will be determined at issuance, subject to market conditions, with further updates provided when appropriate. The offering is being made solely to non-US persons under Regulation S and is not available to retail investors in the UK or EU, in accordance with prospectus and PRIIPs rules. Entain emphasized that the announcement does not constitute an offer to sell securities, and any investment decisions must be based on the offering memorandum alone. The notes will be issued through offshore transactions and will not be registered under US securities laws.
Operational Focus and Growth Partnerships
Earlier this year, the company outlined plans to continue optimizing its balance sheet while navigating evolving regulatory frameworks across multiple markets. Entain has focused on streamlining operations and reinforcing its financial position following a period of heightened compliance costs and restructuring initiatives.
In parallel, Entain has strengthened its content and trading partnerships. In October, Entain CEE signed agreements with Beter to provide SuperSport in Croatia and STS in Poland with fast-betting esports and sports competitions, including ESportsBattle formats and the Setka Cup table tennis series. The company noted that demand for rapid-cycle betting content remains a central element of its engagement strategy across Central and Eastern Europe, reflecting the growing popularity of short-format betting experiences among players.
Through this bond issuance, Entain aims to balance financial flexibility with operational growth, supporting both debt management and continued investment in high-demand betting products.
